Terms of Service

By creating an account or using any part of the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

PropCompliance is a property compliance management platform that helps property managers track inspection schedules, maintenance tasks, compliance documents, and regulatory deadlines. The Service is provided on a subscription basis as described on our pricing page.

To use the Service you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and accept responsibility for all activity under your account.
• Notify us immediately of any unauthorized use of your account.
• Not share your credentials with any third party.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

New accounts receive a 14-day free trial with full access to the features of the selected plan. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to retain access. Your data is retained for 30 days after a trial expires, after which it may be permanently deleted.

Paid plans are billed monthly in advance. By subscribing you authorize us (via our payment processor, Paddle) to charge your payment method on a recurring basis until you cancel.

• All fees are stated in US dollars and are exclusive of applicable taxes.
• You are responsible for all taxes associated with your subscription in your jurisdiction.
• We may change subscription prices with 30 days’ advance notice. Continued use after the price change takes effect constitutes acceptance of the new price.
• Failed payments may result in suspension of your account.

Monthly subscriptions are non-refundable. We do not issue refunds or credits for any partial months of service, plan downgrades, or unused account time.

You may cancel your subscription at any time from the Billing page within your account or by contacting us at support@prop-compliance.com. Upon cancellation:

• Your subscription will not renew at the next billing date.
• You will retain full access to the Service until the end of your current paid billing period.
• No refund will be issued for the remaining days in the billing period.
• Your data will be retained for 30 days after access expires, after which it may be permanently deleted.

If you believe you have been charged in error, please contact us within 14 days of the charge and we will investigate.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload or transmit malicious code, viruses, or any software intended to damage or interfere with the Service.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Scrape, crawl, or otherwise extract data from the Service in bulk without our prior written consent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the Service for any purpose that is unlawful or prohibited by these Terms.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You retain ownership of all data, documents, and content you upload to the Service (“Your Content”). You grant us a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the Service to you.

The Service, including its software, design, text, graphics, and all other content (excluding Your Content), is owned by PropCompliance and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

We strive to maintain high availability but do not guarantee that the Service will be available at all times. We may perform scheduled or emergency maintenance that temporarily interrupts the Service. We are not liable for any losses resulting from downtime.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

PropCompliance is a tracking and reminder tool. It does not constitute legal advice, and compliance with any specific regulation remains the sole responsibility of the user.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPCOMPLIANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless PropCompliance and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will immediately cease.
• We may delete your data in accordance with our data retention policy.
• All provisions of these Terms that by their nature should survive termination shall survive.

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.
