Terms of Service

1. Acceptance of Terms

By accessing or using PropCompliance you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

PropCompliance is a property compliance management platform operated by ClearFlow Services LLC. The service includes compliance tracking, inspection scheduling, document storage, automated alerts, vendor management, and related features. The service is provided on a subscription basis.

3. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years old to use this service. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

• Services are billed on a per-user per-month or annual basis as described on the pricing page.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Refunds are provided at ClearFlow Services LLC’s sole discretion. Annual subscriptions may be refunded within 7 days of purchase.
• Price changes will be communicated at least 30 days in advance via email or in-app notification.
• Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.
• Failed payments may result in suspension of your account until the balance is resolved.

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse engineer, copy, or replicate any part of the service.
• Share account credentials with unauthorized users or allow third parties to access your account.
• Upload malicious files, viruses, or any content intended to damage or disrupt the service.
• Attempt to access other users’ data or gain unauthorized access to any part of the system.
• Use the service to store regulated personal health information subject to HIPAA.
• Scrape, crawl, or extract data from the service in bulk without prior written consent.

6. Data and Privacy

We collect and process data as described in our Privacy Policy, incorporated into these terms by reference. You retain ownership of all data you upload to the service. We do not sell your data to third parties. You grant ClearFlow Services LLC a limited license to process your data solely to provide the service.

7. Compliance Information Disclaimer

PropCompliance provides tools to help track inspection schedules, deadlines, and compliance documentation. We do not guarantee that use of our platform ensures regulatory compliance with any local, state, or federal regulation. You are solely responsible for ensuring your properties meet all applicable legal and regulatory requirements. The platform is not a substitute for professional legal, engineering, or compliance advice. Always consult qualified professionals regarding your specific compliance obligations.

8. W-9 and Tax Document Disclaimer

PropCompliance provides document storage and reminder tools for W-9 forms and related vendor records. This functionality is provided as an organizational convenience only and does not constitute tax advice of any kind. You are solely responsible for your tax filing obligations, including 1099 filing requirements and W-9 collection obligations. Consult a qualified tax professional or CPA regarding your specific obligations under applicable tax law.

9. Intellectual Property

All software, design, content, and technology comprising PropCompliance is owned by ClearFlow Services LLC and protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without prior written permission from ClearFlow Services LLC. Your data and content uploaded to the service remains your property.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled or emergency maintenance that temporarily interrupts the service, and will provide reasonable advance notice where possible. ClearFlow Services LLC is not liable for losses resulting from downtime or service interruptions beyond our reasonable control.

11. Termination

We may suspend or terminate accounts that violate these terms, with or without notice. You may cancel your account at any time. Upon termination:

• Your right to access the service ceases immediately or at the end of your paid billing period.
• You may export your data within 30 days of termination, after which it may be permanently deleted.
• All provisions of these terms that by their nature should survive termination shall survive.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARFLOW SERVICES LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION.

Our total liability to you for any claim arising from these terms or the service shall not exceed the total amount you paid to us in the 12 months immediately preceding the claim.

13. Governing Law

These terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved exclusively in the courts of New London County, Connecticut. You consent to personal jurisdiction in such courts.

14. Changes to Terms

We may update these terms at any time. We will provide at least 30 days’ notice of material changes via email or in-app notification. Your continued use of the service after the effective date of updated terms constitutes acceptance of those changes.
